Jesse M. Kobernick

Jesse M. Kobernick, JD

Founding Partner

Jesse is the founding partner of Kobernick PLLC. He brings over a decade of experience counseling private and public companies, investors, and financial institutions across capital markets transactions, mergers and acquisitions, corporate governance, and securities law compliance.

Prior to founding Kobernick PLLC, Jesse served as Special Counsel in the Business Transactions Group at Miller Nash LLP, and before that as an attorney in the Business and Tax Group at Davis Wright Tremaine LLP. Earlier in his career, he practiced in Dallas, Texas where he developed deep expertise in the regulation of financial institutions. He regularly represented banks in regulatory and compliance matters, as well as M&A and public and private securities offerings.

His representative matters include advising some of the largest companies of the Pacific Northwest—including Microsoft Corporation, T-Mobile, and Banner Corporation—on corporate matters, as well as numerous emerging and mid-stage companies. He has represented issuers, underwriters, and investors in capital markets transactions ranging from Reg D private placements to initial public offerings (IPOs).

Jesse received his JD from Duke University School of Law, where he served as an editor of the Duke Journal of Comparative & International Law and as a member of the Moot Court Board. He received his B.A., cum laude, from UCLA, where he was elected to Phi Beta Kappa.

Randal R. Jones, JD

Special Counsel

Randy brings over 35 years of experience counseling emerging, private, closely-held, and public companies across a wide range of general corporate and complex transactional matters. He spent the bulk of his career at Dorsey & Whitney LLP, where he served as a Partner and as head of the Seattle and Anchorage Corporate departments, as well as Seattle office head.

Randy's practice has concentrated on domestic and cross-border mergers and acquisitions, joint ventures, venture capital and private equity financings, initial and secondary public offerings, corporate governance, and securities regulation. He has significant cross-border experience, with particular depth advising Canadian and other non-U.S. clients on accessing U.S. capital markets, cross-border M&A, and U.S. securities law compliance.

Randy has been repeatedly recognized as a Washington Super Lawyer in Securities & Corporate Finance and Mergers & Acquisitions.

Hunter A. May, JD

Hunter brings to the firm a perspective that sets him apart: he is not only a lawyer, but an entrepreneur who has built and operated businesses from the ground up. Before pursuing law, Hunter founded and led two successful ventures in San Diego — a specialty horticultural enterprise and a consumer softgoods brand — giving him firsthand experience with the challenges that founders, operators, and investors face every day.

That real-world foundation shapes how Hunter approaches legal work. He understands what it means to negotiate a contract when a deal matters, to structure an entity when capital is on the line, and to navigate regulatory complexity when a business depends on it. His clients benefit from counsel that is as practical as it is precise.

Hunter earned his JD from the University of San Diego School of Law and his undergraduate degree from San Diego State University.
